Welcome to LatchFit. These Terms of Service (“Terms”) govern your use of the LatchFit mobile application and website (latchfit.com), developed by Zacquie (“we,” “our,” or “us”). By downloading, installing, or using LatchFit, you agree to these Terms. If you do not agree, please do not use the app or website.

1. Eligibility

You must be at least 18 years old to use LatchFit. By using the app, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Health Disclaimer

LatchFit provides tools for tracking feeding, nutrition, and related activities. It is not a medical device and does not provide medical advice. Always consult with a qualified healthcare provider for medical concerns or decisions. You agree not to rely solely on LatchFit for medical or emergency needs.

3. User Responsibilities

• Provide accurate and current information, including profile details and health data.
• Keep your account credentials secure and notify us promptly of any unauthorized use.
• Comply with all applicable laws and these Terms when accessing or using LatchFit.

4. Intellectual Property & License

All software, content, features, and design of LatchFit (collectively, the “Service Materials”) are owned by Zacquie or our licensors and are protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service Materials solely for your individual, non-commercial use. Any other use, including copying, modifying, distributing, or creating derivative works, requires our prior written consent.

5. User Content

You retain all rights to the information and content you submit to LatchFit (“User Content”). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify (for formatting/display), and otherwise use the User Content solely as necessary to provide and improve the Services. You represent that you have all rights necessary to submit the User Content and that its use as permitted here will not infringe any third-party rights. You may delete your User Content from within the app at any time, and we will handle it in accordance with our Privacy Policy.

6. Trademarks

LatchFit, the LatchFit logos, and any related marks are trademarks of Zacquie. Other names, logos, and brands mentioned in the Services are the property of their respective owners. You may not use our trademarks without our prior written permission.

7. Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe material available through LatchFit infringes your copyright, please send a notice that includes: (i) your contact information, (ii) identification of the copyrighted work, (iii) identification of the material claimed to be infringing, (iv) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law, (v) a statement made under penalty of perjury that the information is accurate and you are authorized to act, and (vi) your physical or electronic signature. 8. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to discover the source code of the app or any related software.
• Use automated means (scripts, bots, scrapers) to access the Services or collect data.
• Rent, lease, sell, sublicense, or otherwise commercialize access to the Services.
• Upload or transmit malicious code, interfere with security features, or disrupt other users’ access.
• Use the Services in any manner that infringes intellectual property or privacy rights, or violates applicable law.

9. Warranty Disclaimer

The Services and Service Materials are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement. We do not guarantee that the Services will be uninterrupted, accurate, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, Zacquie, its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, goodwill, or other intangible losses arising from or related to your use of the Services. Our total cumulative liability for any claim will not exceed the amount you paid (if any) to use LatchFit during the twelve (12) months preceding the event giving rise to the claim.

11. Termination

We may suspend or terminate your access to LatchFit at any time, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct that may harm the Services or other users. You may also stop using the Services at any time.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. You agree that any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts. If you reside outside the United States, you consent to the transfer of any disputes to the United States.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms with a new effective date and, when required by law, provide additional notice. Your continued use of LatchFit after the revised Terms are posted constitutes your acceptance of the changes.
